Bylaws International Hip Society
ARTICLE I: NAME, SEAL, PURPOSE
SECTION 1 The name of this organization shall be "The International Hip Society."
SECTION 2 The Society shall have a circular seal which shall include the name of the Society and its year of incorporation.
SECTION 3 The purpose shall be:
A. To further the development and dissemination of knowledge, research and study on the afflictions of the hip.
B. To provide an appropriate educational setting that will maintain the highest level of professional standards that will lead to continuous advances in professional knowledge and treatment of disorders of the hip.
ARTICLE II: MEMBERSHIP
SECTION 1 There should be five categories of membership in the Society: Active, Senior, Associate, Emeritus and Honorary.
SECTION 2 Membership in the Society should be by invitation and is contingent upon continuing compliance with the laws of the Society.
SECTION 3 The active membership should be limited to 100.
SECTION 4 Membership initiation fee and members yearly dues will be determined by the officers.
SECTION 5 Active Members:
A. Qualifications:
- Shall be reputable practicing orthopaedic surgeons who have made distinguished contributions to the treatment of disorders of the hip joint.
- A major portion of their work, interest, activity and publications must be in the treatment of hip disorders.
- Shall have been engaged in the practice of orthopaedic surgery in their country for a minimum period of seven (7) years.
- Shall be active members of the National Medical Society of the country in which they reside.
B. Rights and Duties:
- May vote, hold office, propose new members and serve on the Committees of the Society.
- If absent for three consecutive meetings, their names shall automatically be dropped from the active membership rosters unless excused by the Officers.
- Shall pay dues yearly.
- After age 65 years, their names shall be transferred from the Active to the Senior membership roster.
SECTION 6 Senior Members
A. Qualifications
- Same as for Active Members.
- New Members are eligible for Senior Membership if they are 65 or more years of age.
B. Rights and Duties:
- May vote, hold office, propose new members and serve on Committees.
- If absent for three consecutive meetings, names dropped unless excused.
- Shall pay dues yearly.
- May become Emeritus when no longer practicing or at request.
SECTION 7 Associate Members:
A. Qualifications:
- Individuals who have contributed to hip disorder understanding or treatment but are not practicing orthopaedic surgeons.
B. Rights and Duties:
- May attend all scientific meetings.
- Cannot vote, hold office, or attend business meetings.
- Will pay dues as determined by officers.
- After age 65, transferred to Emeritus roster.
- If absent three meetings, names dropped unless excused.
SECTION 8 Emeritus Members:
Emeritus Membership may be conferred by the Executive Committee at request of any member no longer active in practice. Emeritus Members may attend all meetings but may not vote, hold office, propose members, nor pay dues.
SECTION 9 Honorary Members:
Individuals elected by 3/4 vote for notable contributions. May not vote, hold office, propose members, or pay dues.
ARTICLE III: OFFICERS AND THEIR DUTIES
SECTION I Officers: The officers shall be the President, President Elect, Secretary/Treasurer, and past President.
SECTION 2 Election of Officers: No member eligible for office who has not been Active for at least five years. President and President Elect hold office three years; Secretary/Treasurer eligible for two re‐elections; nomination and voting by secret ballot at business meeting.
SECTION 3 Duties of Officers:
A. President:
- Preside at all meetings and serve as Executive Officer.
- Appoint committees and fill vacancies.
- Appoint Society historian.
- May deliver scientific address.
- Act for Society in contingencies.
B. President Elect:
- Preside in President’s absence.
- Assume duties if President unable.
- Succeed to Presidency after three years.
C. Secretary/Treasurer:
- Handle official correspondence and minutes.
- Maintain member roster and attendance records.
- Report activities at each scientific meeting.
- Send meeting notices and other correspondence.
- Notify committee appointees.
- Notify new members and distribute certificates & Bylaws.
- Receive funds and deposit in designated bank(s).
- Pay bills and keep financial accounts.
- Track dues and notify delinquents.
- Custodian of Society property; inventory annually.
- Financial report at each business meeting; distribute minutes.
ARTICLE IV: COMMITTEES
SECTION I Executive Committee: Composed of President, President Elect, Past President, Secretary/Treasurer, plus two at‐large members (six‐year terms, staggered).
SECTION 2 Nominating Committee: Three members—one appointed Chair and two elected by Active members; prepares slate for President Elect and Secretary/Treasurer.
SECTION 3 Membership Committee: Three active members appointed by Executive Committee with even geographic representation; reviews new applications and advises Executive by October 15.
ARTICLE V: MEETINGS
Meetings decided by President, generally every 12–18 months, alternating open and closed formats, with business meetings concurrent with scientific sessions.
ARTICLE VI: RESIGNATIONS
Any member may resign by written notice to the President.
ARTICLE VII: GUESTS
President may invite guests; members may propose one guest subject to President’s approval; total guests generally limited to ten per meeting.
ARTICLE VIII: DISSOLUTION
Society may be dissolved only by unanimous decision of all Active Members.
ARTICLE IX: AMENDMENTS
SECTION 1 Proposed amendments must be signed by three Active Members and submitted to Secretary/Treasurer.
SECTION 2 Amendments adopted by either:
A. Two‐thirds vote at business meeting with 3 months’ notice, or
B. Unanimous vote at business meeting, or
C. Two‐thirds electronic vote over two weeks.
